• 广东华商律师事务所创立于1993年，总部位于深圳，是一家具有全球服务网络的大型综合性律师事务所。截至2026年6月，华商在境内外设有77家分支机构，其中境外分支机构20家，并另设5家合作办公室。其中，杨洋律师团队长期专注于企业出海、跨境投资并购、境外公司架构、资本市场及跨境争议解决等业务，并可统筹香港及其他主要境外法域的专业资源，为客户提供跨法域法律服务。

• 我们可以为内地、香港及其他境外企业提供双向跨境法律支持。

• 对于内地企业出海，我们可协助以香港作为境外投资及控股平台，处理公司架构、境外投资、跨境并购、合资合作、资金安排及后续海外业务落地等事宜。如香港企业拟进一步拓展海外业务并进入迪拜、东南亚、非洲等海外市场，我们亦可协调当地律师及专业团队，为客户提供一站式跨境服务支持。

• 同时，对于香港企业或国际客户进入中国内地，我们可协助处理境内投资架构、公司设立、并购投资、商业合同及日常经营合规等事项，助力企业在中国内地的合规稳健运营。

• Founded in 1993 and headquartered in Shenzhen, China Commercial Law Firm is a large, full-service law firm with a global network of offices. As of June 2026, China Commercial Law Firm operates 77 branches both domestically and overseas, including 20 overseas branches, as well as five partner offices. Among these, the team led by Mr Yang Yang has long specialised in corporate international expansion, cross-border investment and mergers and acquisitions, offshore corporate structuring, capital markets and cross-border dispute resolution. The team is able to coordinate professional resources in Hong Kong and other major overseas jurisdictions to provide clients with cross-jurisdictional legal services.

2. What We Can Do

• We provide two-way cross-border legal support to enterprises in Mainland China, Hong Kong and other overseas jurisdictions.

• For Mainland enterprises expanding overseas, we can assist in utilising Hong Kong as a platform for overseas investment and holding, handling matters such as corporate structuring, overseas investment, cross-border mergers and acquisitions, joint ventures and partnerships, funding arrangements, and the subsequent establishment of overseas operations. Should Hong Kong enterprises wish to further expand their overseas operations and enter markets such as Dubai, South-East Asia and Africa, we can also coordinate with local solicitors and specialist teams to provide clients with one-stop cross-border service support.

• Furthermore, for Hong Kong enterprises or international clients entering Mainland China, we can assist with matters including domestic investment structures, company formation, mergers and acquisitions, commercial contracts and day-to-day operational compliance, thereby supporting the compliant and stable operation of enterprises in Mainland China.
